Terms of Service

These Terms of Service ("Terms") govern your use of the Context Menu Enterprise browser extension ("Extension") and any related services provided by Bedison LLC ("Company," "we," "us," or "our"). By installing or using the Extension, you agree to be bound by these Terms. If you do not agree, do not install or use the Extension.

1. Description of Service

Context Menu Enterprise is a browser extension that provides productivity tools accessible from the right-click context menu, including Quick Search, Response Repo, Autolinker, Context AI, Note Clipper, and Quick Playbook. The Extension operates entirely within your browser and does not transmit your data to our servers.

2. Free and Pro Plans

The Extension is available under two tiers:

- Free Plan — Includes Quick Search (up to 5 engines), Autolinker (up to 3 rules), and Quick Playbook (1 playbook, up to 5 steps).

- Pro Plan — Includes all features with no limits. Available as a monthly or annual subscription.

We reserve the right to modify the features included in each plan at any time. If we reduce the features available under the Pro Plan, we will notify active subscribers at least 30 days in advance.

3. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Extension for your personal or internal business purposes. You may not:

- Copy, modify, distribute, sell, or lease any part of the Extension

- Reverse-engineer or attempt to extract the source code

- Use the Extension for any unlawful purpose

- Remove or alter any proprietary notices or labels

4. Payments and Subscriptions

Billing

Pro Plan subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). All payments are processed by Stripe, Inc. ("Stripe"). By subscribing, you also agree to Stripe's [Terms of Service](https://stripe.com/legal) and [Privacy Policy](https://stripe.com/privacy).

Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account management page.

Price Changes

We may change subscription prices from time to time. Price changes will not affect your current billing period. If we increase prices, we will notify you before your next renewal so you can cancel if you choose.

Refunds

If you are unsatisfied with the Pro Plan, you may request a refund within 30 days of your initial purchase by contacting us at support@contextmenuenterprise.com. Refunds are not available after the 30-day period or for renewal charges. We reserve the right to issue refunds on a case-by-case basis beyond this window.

Failed Payments

If a payment fails, we may retry the charge. If payment cannot be collected after a reasonable number of attempts, your access to Pro features may be suspended until payment is resolved. Your data and configuration will not be deleted.

5. Your Data

Local Storage

All data you create or configure within the Extension (search engines, response templates, autolinker rules, AI prompts, playbooks, etc.) is stored locally in your browser using Chrome's storage APIs. We do not collect, transmit, or have access to this data.

Third-Party Services

Certain features connect to third-party services that you configure:

- Context AI sends text to the AI provider you configure (OpenAI, Anthropic, or a custom endpoint) using your own API key.

- Note Clipper sends clipped content to the destination you configure (Notion, Slack, Microsoft Teams, or a custom webhook).

- Team Configuration fetches configuration from a URL provided by your administrator.

These connections are initiated only by your explicit action or configuration. We do not intermediate, store, or have access to data transmitted to these services. Your use of third-party services is subject to their respective terms and privacy policies.

API Keys

API keys you enter for Context AI, Note Clipper, or other integrations are stored locally in your browser. They are excluded from backup exports and Team Configuration exports by default. You are responsible for the security and proper use of your API keys.

6. Team Configuration

If your organization uses the Team Configuration feature, your administrator is responsible for the content and accuracy of the shared configuration. We are not responsible for configurations published by your administrator, including any errors, omissions, or unintended data exposure resulting from shared configuration files.

7. Intellectual Property

The Extension, including its code, design, documentation, and branding, is owned by Bedison LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

You retain ownership of all content you create using the Extension (templates, configurations, playbook definitions, etc.).

8. Disclaimer of Warranties

THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Extension will be uninterrupted, error-free, or compatible with all websites or browser configurations. Browser updates, website changes, or third-party service modifications may affect the Extension's functionality.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEDISON LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE EXTENSION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE EXTENSION SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bedison LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Extension, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may stop using the Extension at any time by uninstalling it. You may cancel your Pro subscription at any time through your account management page.

We may suspend or terminate your access to the Extension or Pro features if you violate these Terms. Upon termination, your license to use the Extension ends, but your locally stored data remains in your browser unless you remove it.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. For active Pro subscribers, we will provide notice of material changes at least 30 days before they take effect. Your continued use of the Extension after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Extension shall be resolved in the state or federal courts located in Texas.

Before filing a formal legal claim, you agree to attempt to resolve any dispute informally by contacting us at support@contextmenuenterprise.com. We will attempt to resolve the dispute within 30 days of receiving your notice.

14. General Provisions

- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bedison LLC regarding the Extension.

- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

- Assignment. You may not assign your rights under these Terms. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets.
